Supplier Terms and Conditions
As a supplier to Apogee Manufacturing Solutions LLC, it is understood that when accepting our purchase order, your organization agrees to meet the following AS9100D stipulations. These requirements are to be considered Terms and Conditions to all purchase orders received. Any changes to these terms and conditions will be stated on the purchase order.
Communications:
- Communications regarding this purchase order must flow through the cognizant Apogee Manufacturing Solutions LLC purchasing agent.
DPAS Rating:
- A Supplier who accepts a purchase order with a DPAS (Defense Priorities and Allocation System) rating agrees to be bound by all of its provisions, https://www.dcma.mil/DPAS/.
Shipping, Delivery and Acceptance:
- All items shall be packaged to ensure product integrity during the shipping process.
- Packing slips must accompany all purchases. They must reference Apogee Manufacturing Solutions LLC’s purchase order number and specify the material lot/heat number if applicable.
- Apogee Manufacturing Solutions LLC retains the right to inspect and reject product at the Supplier’s facility prior to shipping and upon receipt of material. Defects in workmanship, loss or damage occurring during shipping, missing packing slips, nonconforming material certifications and late deliveries are all grounds for rejection even if payment has already been made for products/services.
Supplier Control:
- Apogee Manufacturing Solutions LLC monitors the performance of our suppliers. On-time delivery and incoming quality are monitored for each delivery.
- Design and development control does not apply to Apogee Manufacturing Solutions LLC’s Suppliers.
Supplier Process Control:
- Supplier shall notify Apogee Manufacturing Solutions LLC of any changes to processes, products, or services, including changes to external providers or location of manufacture, and obtain Apogee Manufacturing Solutions’ approval prior to purchase order fulfillment.
Supplier Quality System:
- Suppliers are required to maintain a quality management system; AS9100 or ISO9001 is preferred.
Record Retention:
- Suppliers shall maintain quality records for a minimum of 15 years.
Sub-Tier Suppliers:
- When noted on the purchase order, the Supplier may make use of Sub-Tier Suppliers approved by Apogee Manufacturing Solutions LLC or its customers.
- Suppliers must flow down all applicable requirements to Sub-Tier Suppliers.
- Sub-Tier Suppliers shall maintain control of their Suppliers, monitor their Suppliers performance and act accordingly to protect Apogee Manufacturing Solutions LLC’s interests.
Certificate of Conformance:
- Supplier shall provide a Certification of Conformance on company letterhead with each shipment to attest that the materials and/or services supplied conform to the purchase order requirements. Records of the methods, processes, equipment, and acceptance shall be available upon request.
- All Certificates of Conformance Must Include:
- Lot Number
- Date of Manufacture
- Apogee Manufacturing Solutions LLC’s Purchase Order Number
- An explicit statement of compliance to each Purchase Order Specification
- Signature and Date of Authorized Quality Representative
Special Processes:
- Special requirements, critical items or key characteristics will be noted on the purchase order and are expected to be delivered as part of the purchase order fulfillment.
- All special processes (anodizing, plating, impregnating, welding, brazing, testing) where compliance cannot be verified by inspections, require a Manufacturing Certificate of Conformity.
Calibration Providers:
- All calibrations must be performed using standards traceable to SI Unit thru NIST (National Institute of Standards and Technology) and must include measured actuals with “as found” and “as left” differentiation.
Product Verification:
- Purchase Order items requiring supplier verification shall be tested, inspected and/or verified by the supplier’s acceptance processes and criteria. The use of statistical sampling techniques for product acceptance is allowed provided Apogee concurs with the proposed sampling plan.
Nonconformance:
- Suppliers shall immediately (within 24 hrs) notify Apogee Manufacturing Solutions LLC of nonconforming processes, products, or services and obtain approval for their disposition. This also includes discovery occurring after product has been shipped to Apogee Manufacturing Solutions LLC.
Test Specimens:
- Upon request, Supplier shall provide test specimens for approval, inspection/verification, investigation, or auditing.
Counterfeit Part Prevention:
- To prevent the purchase of counterfeit or suspect/unapproved products, and to ensure product identification and traceability, the supplier will implement controls that include the requirement of Country of Manufacture, Material Certificates, Certificates of Conformity, and/or other supporting documentation from its Suppliers as appropriate.
Shelf Life Limited Material:
- All shelf life limited material must retain at least 75% of product’s useful shelf life as of the time of delivery to Apogee Manufacturing Solutions LLC.
Right of Access:
- Supplier shall grant the right of access by Apogee Manufacturing Solutions LLC, its customers, and regulatory agencies to the applicable areas of facilities and to applicable documented information at any level of the supply chain.
- Apogee Manufacturing Solutions LLC and its customers reserve the right to perform verification and/or validation activities at the Supplier’s premise.
Insurance:
- Supplier shall maintain sufficient insurance to protect Apogee’s interests and may be required to name Apogee as additional insured.
Training:
- Supplier will ensure that employees and people working on its behalf are aware of their contribution to product and/or services conformity, product safety and the importance of ethical behavior.
- Personnel involved with the fulfillment of this purchase order must be determined by the supplier to be competent and qualified to carry out the required processes.
